Tweed outdoor party a hit, despite the rain

Rain didn’t deter anyone.
Families arrived with chairs and umbrellas, and set up in front of the stage. People of all ages dropped in to the Tweed lawn party on Sunday, Aug. 14. Authorized medical users were shown to their own private area (at a distance from other guests), and when the show did start (a little late because of a malfunctioning amplifier), it was a blast.
Tweed chose Sunday afternoon to thank its customers with headliners BlakDenim, The Balconies and Joel Plaskett Emergency. Bruce’s Babies opened with some original songs. The mood was happy, the music was loud, and a 5 o’clock downpour just enhanced the experience.
Food vendors did a brisk business, an under-tarp eating area encouraged showgoers to sit and munch, blue cotton candy caught kids’ attention, and Tweed T-shirts were on sale during the four-hour shindig.
The free event was a thank-you to the community of Smiths Falls for the the support it has given Tweed, a licensed marijuana producer, which took over the former Hershey’s Chocolate Factory space in 2014.

Tweed to sponsor MADD and CDPC campaign on impaired driving
Tweed Inc., Canada’s largest medical cannabis producer plans to fund a national campaign to raise awareness of impairment in relation to operating a motor vehicle under the influence of cannabis.
The campaign will be developed and administered by two of the country’s leading organizations in promoting evidence based drug policy and safe driving, the Canadian Drug Policy Coalition (CDPC) and Mothers Against Drunk Driving (MADD Canada).
Funding will be provided to MADD Canada over three years by Canopy Growth Corporation (Canopy Growth) whose wholly owned subsidiaries Tweed Inc. (Tweed) and Bedrocan Canada Inc. (Bedrocan Canada) will fund the campaign using proceeds from a previously announced education fund dedicated towards responsible use of cannabis.
“We’re proud to be bringing together the Canadian leaders in sober driving campaigns with leaders in the development of responsible drug policy for this important initiative. Now that we’re on the verge of a legal access to cannabis for personal use, it’s time to step up and do our part as responsible corporate citizens,” said Bruce Linton, Chairman and CEO of Canopy Growth.
As Canada prepares to be the first industrialized country to implement cannabis legalization for personal use, MADD Canada is partnering with Canopy Growth to help prevent an increase in the incidence of impaired driving. MADD Canada’s efforts to raise awareness and reduce impaired driving in Canada have saved an estimated 35,000 lives through impactful and memorable public campaigns.
“MADD Canada has had a great deal of success in reducing the number of impaired drivers on Canadian roads,” said MADD Canada Chief Executive Officer Andrew Murie.
“As laws change in Canada we think it’s important to take the same approach to cannabis as we have with alcohol, particularly given an increasing presence of cannabis in driving incidents already. MADD Canada continues to raise awareness on the risks of drug-impaired driving, and we are pleased to be part of this new national campaign to educate the public and reduce the number of people who drive while impaired by cannabis.”
The Canadian Drug Policy Coalition will contribute the research basis and third party expertise to ensure that the campaign is designed using international best practices. “Ensuring that Canadians understand responsible cannabis use and its impact on impairment when operating a motor vehicle is an important part of moving to a regulated market for cannabis in Canada,” said Donald MacPherson, executive director of the Canadian Drug Policy Coalition. There is an emerging body of research that we can lean on to help Canadians understand impaired driving, understand when they are impaired and make responsible choices.”
Tweed unphased by federal court licensing decision

A federal court decision, handed down on Feb. 24 has, at first glance, rocked the very foundations that Tweed, the Canadian medical marijuana producer, was built on. Yet the Smiths Falls-based company is taking the decision in stride and even welcoming it.
In April 2014, the Marijuana for Medical Purposes Regulations (MMPR) came into effect, replacing the Marihuana for Medical Access Regulations (MMAR) under which patients could obtain a license to grow their own pot or designate a licensed third party to grow it for them. The new regulation stated that patients now must use a licensed provider.
The recent ruling by Judge Michael Phelan’s declared the MMPR is “unconstitutional” and in violation of the rights of medical cannabis patients.
“Anything that gives people more access I think is good,” said Mark Zekulin, lawyer and president Tweed.
“I find that the MMPR regime infringes the Plaintiffs’ s 7 Charter rights and such infringement is not justified,” Phelan wrote in his ruling.
Tweed came into existence in response to the previous federal government’s move away from licensing individual growers to the system of licensing commercial growers to supply the increasing number of medical cannabis patients.
The number of patients with Authorization to Possess had increased from 455 in 2002 to 37,151 in 2013, and continues to increase, according to court documents.
In his decision the judge notes that “a general proposition of the Defendant is that the MMPR is justified on health and safety grounds and addresses such concerns as diversion of medical marihuana into the illegal market – a fact not supported by the evidentiary record…”
He went on to examine each of the safety issues cited by the government and found all of them to be “weak and inconsistent.”
He also observed that many of the previous government’s “expert witnesses were so imbued with a belief for or against marijuana – almost a religious fervour – that the court had to approach such evidence with a significant degree of caution and skepticism.”
Although the judge declared the MMPR unconstitutional, he made it clear that he was not ordering the the reinstatement the MMAR.
“It is not the role of the court to impose regulations. The MMAR may be a useful model for subsequent consideration; however, it is not the only model,” wrote the judge.
The judge has given the federal government six months to come up with new rules that address the issues of access for medical marijuana patients.
For now that means that those people who had valid grow licences at the time of the injunction can continue to grow but new licences won’t be issued until new rules are in place.
“I liken it to the brew-by-you market,” said Zekulin. “Most people still go to the beer store to buy their beer. Just because people can grow their own, I don’t see that as a threat to our business as long as we continue producing a quality product.”
Currently Tweed offers its customers a variety of different strains of pot with tested, certified and labeled levels of Tetrahydrocannabinol (THC) and Cannabidiol (CBD) – the active ingredients in pot. The commercial grower also offers oils and baking mixes and claims that its products are consistent and reliable.
“We can do things in our facility [to ensure quality and consistency] that people can’t do at home,” explained Zekulin.
The Liberal government has already said that it intends to regulate and legalize marijuana.
“Legalization will probably mean more rather than less regulation, because its objective will be to remove it from the criminal element and keep it out of the hands of children,” said Zekulin.
That would be good for companies like Tweed, argues Zekulin because it would mean that the government would need to control the supply. As he points out commercial growers like his company and the nearly 20 other licensed commercial growers operating in Canada today, already have a great system of secure and properly labeled product available.
Tweed Marijuana Inc. Announces $20 Million Bought Deal Financing
Tweed Marijuana Inc. (TSX VENTURE:TWD) (“Tweed” or the “Company”) announced today that it has entered into an agreement with a syndicate of underwriters led by GMP Securities L.P. and including Dundee Securities Ltd. and M Partners Inc. (collectively, the “Underwriters”), pursuant to which the Underwriters have agreed to purchase, on a bought deal basis pursuant to the filing of a short form prospectus, 9,302,400 common shares (the “Common Shares”) of the Company, at a price of $2.15 per Common Share (the “Offering Price”) for aggregate gross proceeds to Tweed of $20,000,160 (the “Offering”).
The Company has agreed to grant the Underwriters an over-allotment option to purchase up to an additional 1,395,360 Common Shares at the Offering Price, exercisable in whole or in part, at any time on or prior to the date that is 30 days following the closing of the Offering. If this option is exercised in full, an additional $3,000,024 will be raised pursuant to the Offering and the aggregate gross proceeds of the Offering will be $23,000,184.
The Common Shares will be offered by way of a short form prospectus to be filed in all of the provinces of Canada except Quebec. The Company intends to use the net proceeds from the Offering for facilities expansion and general corporate purposes. The Offering is expected to close on or about March 17, 2015 and is subject to certain conditions including, but not limited to, the receipt of all necessary regulatory and stock exchange approvals, including the approval of the TSX Venture Exchange and the applicable securities regulatory authorities.

Tweed Marijuana releases key fourth quarter summary, provides operational update
SMITHS FALLS, ON, Feb. 18, 2015 /CNW/ – Tweed Marijuana Inc. (“Tweed Marijuana” or “the Company”) parent company of licensed medical marijuana producers Tweed Inc. (Tweed) and Tweed Farms Inc. (Tweed Farms) is pleased to announce fourth quarter (Q4) revenue figures for the 3-month period ended December 31st, 2014 and provide operational updates. Q4 revenue was $641,309, led by $357,142 in the month of December. There were 87,138 grams sold during the quarter, giving a gross margin in Q4 of 36.0% up from 23.6% in the previous quarter.
The processing area at Tweed continues to manage an increasing volume of orders, which as of February 17th totaled just over 75,000 grams sold and shipped, calendar year-to-date. Weekday orders have been shipped within one day of ordering over 90% of the time in 2015, and a recently completed processing area will allow Tweed to maintain this service standard as the business expands its customer base.
In order to service new clients and support Tweed’s continued growth, the Company has completed the build out of three additional growing rooms and an in-house laboratory within the 168,000 sq. ft. licensed facility operated by Tweed at 1 Hershey Drive in Smiths Falls, Ontario.
The in-house laboratory, when approved, will allow for a more cost-effective testing process, while also giving Tweed the tools to analyze plants during every stage of the production process and optimize the reliability and quality of its final product.
With between nine and eleven strains continuously available, average order size and average price per gram have increased during December 2014 and year-to-date in 2015. Production and inventory levels from the indoor and greenhouse facilities harvested in late 2014 have been supported by three harvests to date in 2015 with ongoing harvests scheduled for both facilities.
“We invested in a large growing platform early so we could remove any customer onboarding roadblocks,” said Bruce Linton, Chairman and CEO of Tweed. “This investment began to yield significant inventory in November, clients in December, and sustained growth to date. Tweed Farms, the Company’s second licensed subsidiary is in the midst of broad scale infrastructure enhancements. The entire Tweed Farms greenhouse, located in Niagara-on-the-Lake, Ontario is being transformed to meet the detailed specifications of the Marihuana for Medical Purposes Regulations. All told, the greenhouse will house approximately 340,000 sq. ft. of low-cost production space. Plans to add a large-scale processing facility in 2015 are already underway.

Tweed to sponsor MADD and CDPC campaign on impaired driving
Tweed Inc., Canada’s largest medical cannabis producer plans to fund a national campaign to raise awareness of impairment in relation to operating a motor vehicle under the influence of cannabis.
The campaign will be developed and administered by two of the country’s leading organizations in promoting evidence based drug policy and safe driving, the Canadian Drug Policy Coalition (CDPC) and Mothers Against Drunk Driving (MADD Canada).
Funding will be provided to MADD Canada over three years by Canopy Growth Corporation (Canopy Growth) whose wholly owned subsidiaries Tweed Inc. (Tweed) and Bedrocan Canada Inc. (Bedrocan Canada) will fund the campaign using proceeds from a previously announced education fund dedicated towards responsible use of cannabis.

As Canada prepares to be the first industrialized country to implement cannabis legalization for personal use, MADD Canada is partnering with Canopy Growth to help prevent an increase in the incidence of impaired driving. MADD Canada’s efforts to raise awareness and reduce impaired driving in Canada have saved an estimated 35,000 lives through impactful and memorable public campaigns.
“MADD Canada has had a great deal of success in reducing the number of impaired drivers on Canadian roads,” said MADD Canada Chief Executive Officer Andrew Murie.
“As laws change in Canada we think it’s important to take the same approach to cannabis as we have with alcohol, particularly given an increasing presence of cannabis in driving incidents already. MADD Canada continues to raise awareness on the risks of drug-impaired driving, and we are pleased to be part of this new national campaign to educate the public and reduce the number of people who drive while impaired by cannabis.”
The Canadian Drug Policy Coalition will contribute the research basis and third party expertise to ensure that the campaign is designed using international best practices. “Ensuring that Canadians understand responsible cannabis use and its impact on impairment when operating a motor vehicle is an important part of moving to a regulated market for cannabis in Canada,” said Donald MacPherson, executive director of the Canadian Drug Policy Coalition. There is an emerging body of research that we can lean on to help Canadians understand impaired driving, understand when they are impaired and make responsible choices.”
Tweed unphased by federal court licensing decision

A federal court decision, handed down on Feb. 24 has, at first glance, rocked the very foundations that Tweed, the Canadian medical marijuana producer, was built on. Yet the Smiths Falls-based company is taking the decision in stride and even welcoming it.
In April 2014, the Marijuana for Medical Purposes Regulations (MMPR) came into effect, replacing the Marihuana for Medical Access Regulations (MMAR) under which patients could obtain a license to grow their own pot or designate a licensed third party to grow it for them. The new regulation stated that patients now must use a licensed provider.
The recent ruling by Judge Michael Phelan’s declared the MMPR is “unconstitutional” and in violation of the rights of medical cannabis patients.
“Anything that gives people more access I think is good,” said Mark Zekulin, lawyer and president Tweed.
“I find that the MMPR regime infringes the Plaintiffs’ s 7 Charter rights and such infringement is not justified,” Phelan wrote in his ruling.
Tweed came into existence in response to the previous federal government’s move away from licensing individual growers to the system of licensing commercial growers to supply the increasing number of medical cannabis patients.
The number of patients with Authorization to Possess had increased from 455 in 2002 to 37,151 in 2013, and continues to increase, according to court documents.
In his decision the judge notes that “a general proposition of the Defendant is that the MMPR is justified on health and safety grounds and addresses such concerns as diversion of medical marihuana into the illegal market – a fact not supported by the evidentiary record…”
He went on to examine each of the safety issues cited by the government and found all of them to be “weak and inconsistent.”
He also observed that many of the previous government’s “expert witnesses were so imbued with a belief for or against marijuana – almost a religious fervour – that the court had to approach such evidence with a significant degree of caution and skepticism.”
Although the judge declared the MMPR unconstitutional, he made it clear that he was not ordering the the reinstatement the MMAR.
“It is not the role of the court to impose regulations. The MMAR may be a useful model for subsequent consideration; however, it is not the only model,” wrote the judge.
The judge has given the federal government six months to come up with new rules that address the issues of access for medical marijuana patients.
For now that means that those people who had valid grow licences at the time of the injunction can continue to grow but new licences won’t be issued until new rules are in place.
“I liken it to the brew-by-you market,” said Zekulin. “Most people still go to the beer store to buy their beer. Just because people can grow their own, I don’t see that as a threat to our business as long as we continue producing a quality product.”
Currently Tweed offers its customers a variety of different strains of pot with tested, certified and labeled levels of Tetrahydrocannabinol (THC) and Cannabidiol (CBD) – the active ingredients in pot. The commercial grower also offers oils and baking mixes and claims that its products are consistent and reliable.
“We can do things in our facility [to ensure quality and consistency] that people can’t do at home,” explained Zekulin.
The Liberal government has already said that it intends to regulate and legalize marijuana.
“Legalization will probably mean more rather than less regulation, because its objective will be to remove it from the criminal element and keep it out of the hands of children,” said Zekulin.
That would be good for companies like Tweed, argues Zekulin because it would mean that the government would need to control the supply. As he points out commercial growers like his company and the nearly 20 other licensed commercial growers operating in Canada today, already have a great system of secure and properly labeled product available.
Tweed Marijuana Inc. Announces $20 Million Bought Deal Financing
Tweed Marijuana Inc. The Company has agreed to grant the Underwriters an over-allotment option to purchase up to an additional 1,395,360 Common Shares at the Offering Price, exercisable in whole or in part, at any time on or prior to the date that is 30 days following the closing of the Offering. If this option is exercised in full, an additional $3,000,024 will be raised pursuant to the Offering and the aggregate gross proceeds of the Offering will be $23,000,184.
The Common Shares will be offered by way of a short form prospectus to be filed in all of the provinces of Canada except Quebec. The Company intends to use the net proceeds from the Offering for facilities expansion and general corporate purposes. The Offering is expected to close on or about March 17, 2015 and is subject to certain conditions including, but not limited to, the receipt of all necessary regulatory and stock exchange approvals, including the approval of the TSX Venture Exchange and the applicable securities regulatory authorities.

Tweed Marijuana releases key fourth quarter summary, provides operational update
SMITHS FALLS, ON, Feb. 18, 2015 /CNW/ – Tweed Marijuana Inc. (“Tweed Marijuana” or “the Company”) parent company of licensed medical marijuana producers Tweed Inc. (Tweed) and Tweed Farms Inc. (Tweed Farms) is pleased to announce fourth quarter (Q4) revenue figures for the 3-month period ended December 31st, 2014 and provide operational updates. Q4 revenue was $641,309, led by $357,142 in the month of December. There were 87,138 grams sold during the quarter, giving a gross margin in Q4 of 36.0% up from 23.6% in the previous quarter.
The processing area at Tweed continues to manage an increasing volume of orders, which as of February 17th totaled just over 75,000 grams sold and shipped, calendar year-to-date. Weekday orders have been shipped within one day of ordering over 90% of the time in 2015, and a recently completed processing area will allow Tweed to maintain this service standard as the business expands its customer base.
In order to service new clients and support Tweed’s continued growth, the Company has completed the build out of three additional growing rooms and an in-house laboratory within the 168,000 sq. ft. licensed facility operated by Tweed at 1 Hershey Drive in Smiths Falls, Ontario.
The in-house laboratory, when approved, will allow for a more cost-effective testing process, while also giving Tweed the tools to analyze plants during every stage of the production process and optimize the reliability and quality of its final product.
With between nine and eleven strains continuously available, average order size and average price per gram have increased during December 2014 and year-to-date in 2015. Production and inventory levels from the indoor and greenhouse facilities harvested in late 2014 have been supported by three harvests to date in 2015 with ongoing harvests scheduled for both facilities.
“We invested in a large growing platform early so we could remove any customer onboarding roadblocks,” said Bruce Linton, Chairman and CEO of Tweed. “This investment began to yield significant inventory in November, clients in December, and sustained growth to date. All told, the greenhouse will house approximately 340,000 sq. ft. of low-cost production space. Plans to add a large-scale processing facility in 2015 are already underway.

The data is expected to provide a preliminary indication as to the effect of various cannabis strains on a range of chronic conditions. It will also contribute to clarifying specific dosages, modes of administration, and frequency for various conditions.
